Parties

This release is between RALLYO CONCEPTS LLC, an Indiana limited liability company that operates prospect GTWY (“Company”), and the undersigned parent or legal guardian (“you”) of the minor athlete identified on the signature page (“Athlete”).

Authority

You represent that you are the Athlete’s parent or legal guardian, that you are at least 18 years old, and that you have the authority to grant this release and to license the Athlete’s name, image, and likeness on the Athlete’s behalf. The Athlete is a minor and cannot grant this release directly.

Grant of rights

You grant the Company a non-exclusive, revocable, royalty-free license to use the Athlete’s name, image, likeness, photograph, voice, video, and athletic information (collectively, “Athlete Materials”) for the following purposes:

• Creating, displaying, and maintaining the Athlete’s prospect GTWY profile.
• Sharing the full profile with coaches, programs, and sponsors you approve.
• Promoting the Athlete in connection with a sponsorship named on the profile, including a sponsor related to the Company (such as our kordi AVE brand), which we will disclose.
• Publishing a limited public preview of the profile, with the Athlete’s full name, photos, school, exact location, and schedule withheld from the public and search engines.

This license does not permit the Company to sell the Athlete Materials, to use them for targeted advertising, or to use them outside prospect GTWY without your further written consent.

No third-party use without disclosure

The Company will not transfer the Athlete Materials to a third party other than the approved viewers and the disclosed sponsor described above. Any sponsorship that is a related-party arrangement will be disclosed clearly on the profile and is not an independent endorsement.

Revocation and takedown

You may revoke this release at any time by contacting [email protected]. On revocation, the Company will remove the profile and delete the Athlete Materials from storage without undue delay. Revocation does not affect uses already made before revocation, but the Company will not make new uses after revocation.

Compensation

Unless a separate written sponsorship agreement says otherwise, no payment is owed to you or the Athlete for the uses licensed here. If a sponsorship provides compensation, it will be documented in a separate agreement signed by you on the Athlete’s behalf.

Governing law

This release is governed by the laws of the State of Indiana, including Indiana’s right of publicity statute, without regard to conflict-of-law principles.

Signature

The final release includes a signature page identifying the Athlete and signed by the parent or legal guardian (by hand or electronic signature), with the date. To request the signable form, contact [email protected].
